PostBreezy Terms of Service
Effective Date: 8 February 2026
These Terms of Service ("Terms") constitute a legally binding agreement between you, the user, and MP Software for Good Ltd (Company number 16693896) trading as PostBreezy (referred to as "PostBreezy", "we", "us", or "our"). MP Software for Good Ltd is registered in England and Wales.
By accessing or using the PostBreezy service, including any associated features, websites, software, or applications (collectively, the "Service"), you agree to be bound by these Terms. If you disagree with any part of the Terms, you must not use the Service.
1. The Service
PostBreezy is a social media scheduling platform that allows users to create, plan, manage, and schedule content for publication on various third-party social media platforms ("Connected Platforms"). Currently, the Service is primarily focused on LinkedIn, but these Terms apply to all Connected Platforms, including future integrations such as Meta (Facebook, Instagram), TikTok, X, and others.
2. Eligibility and Account Registration
2.1 Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. By agreeing to these Terms, you represent and warrant that you are legally capable of entering into this agreement.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify PostBreezy immediately of any unauthorised use of your account.
2.3 Platform Permissions
To use PostBreezy, you must link your accounts on Connected Platforms (e.g., LinkedIn). You grant PostBreezy the necessary permissions and access tokens to perform the scheduled actions (such as posting content) on your behalf. We store these tokens securely but are not responsible for security breaches of the Connected Platforms themselves.
3. Fees and Payment
3.1 Subscription and Billing
Account registration is free. Access to the Service's core features requires a paid subscription. Fees are billed on a monthly or annual recurring cycle, depending on the plan you select. The pricing structure, billing cycle, and features included in each plan will be detailed on the PostBreezy website at the time of purchase.
3.2 Promotional Pricing
PostBreezy may offer promotional pricing (such as founders pricing) for a limited time or limited number of users. Promotional pricing applies for the specified duration (e.g., 3 months), after which your subscription automatically continues at the standard rate. You can cancel your subscription at any time.
3.3 Payment Authorisation and Refunds
You authorise PostBreezy (or its third-party payment processor) to charge your designated payment method for all applicable fees. Fees are non-refundable. While we may, at our sole and absolute discretion, consider requests for pro-rated refunds for annual subscriptions, this is not a guarantee and depends entirely on the circumstances.
3.4 Changes to Fees
PostBreezy reserves the right to change its fees or payment terms at any time, provided that we will give you reasonable prior notice before such changes take effect for your existing subscription.
4. User Content and Connected Platform Rules
4.1 User Content
You retain all ownership rights to the text, images, videos, and other material you create, upload, schedule, or post through the Service ("User Content"). You grant PostBreezy a worldwide, non-exclusive, royalty-free, and fully paid license to use, reproduce, modify, and display the User Content solely for the purpose of providing the Service to you (i.e., scheduling and publishing the content).
4.2 Connected Platform Compliance
You are solely responsible for ensuring that all User Content and your use of the Service comply with the terms of service, policies, and community guidelines of every Connected Platform where you post (e.g., LinkedIn, Meta, TikTok, etc.).
4.3 Prohibited Use
You agree not to use the Service to upload, schedule, or publish any User Content that:
- Is illegal, fraudulent, harmful, or promotes illegal acts.
- Infringes on any third party's intellectual property, privacy, or publicity rights.
- Constitutes spam, unauthorised advertising, or mass solicitation, or violates any anti-spam laws.
4.4 Monitoring and Removal
PostBreezy is not obligated to monitor User Content. However, we reserve the right to review, screen, or remove any User Content, or suspend your account, if we believe, in our sole discretion, that it violates these Terms or the rules of any Connected Platform.
5. Intellectual Property
5.1 Our IP
The Service, including its design, code, proprietary software, business processes, and all content provided by PostBreezy (excluding User Content), is the exclusive property of MP Software for Good Ltd and is protected by copyright, trademark, and other laws of England and Wales and foreign countries.
5.2 Limited License
PostBreezy grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business or personal use, subject to your compliance with these Terms.
6. Disclaimers and Limitation of Liability
6.1 "AS IS" Basis
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. PostBreezy makes no warranty that the Service will be uninterrupted, secure, or error-free, or that it will be compatible with all Connected Platforms or function as expected.
6.2 No Guarantee of Publishing
PostBreezy is reliant on the APIs and systems of Connected Platforms. We are not liable for any failure to publish scheduled content, deletion of content by a Connected Platform, or any changes the platforms make that affect the Service's operation.
6.3 Limitation of Liability
To the maximum extent permitted by law, MP Software for Good Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service. Our total liability to you for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid to us in the six (6) months preceding the event giving rise to the claim.
7. Term, Termination, and Suspension
7.1 Term
These Terms remain in full force and effect while you use the Service.
7.2 Termination by You
You may stop using the Service and terminate your account at any time. Upon termination, your data will be handled in accordance with our Privacy Policy, including the data retention periods described therein.
7.3 Termination by Us
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms (including failure to pay fees) or for any conduct we determine to be harmful to the Service or other users.
8. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
9. General Provisions
9.1 Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
